After upgrading to Parallels Desktop 4.0, several updates are required for each virtual machine. Normally, they are performed in Automatic mode when you boot into your virtual machine for the first time after the upgrade. 
If you have User Account Control (UAC) enabled, the system will require the administrative permission for this action the same as for installing and uninstalling applications. You may see a window like this:

Please, click continue and enter the administrative password.
After that, please go to Start -> My Computer -> CD/DVD Rom and double-click it:

The Wizard should come up. Or you can see the following folder open:

Double click the Setup.exe icon.

If there is no Setup.exe file, or the CD/DVD Rom does not response, please, close the My Computer window and reopen it once again in 5 minutes.
If nothing changes, from the Parallels  Desktop menu at the top of the screen, choose Devices -> CD/DVD Rom -> Connect image and connect the prl-tools-win.iso image (by default, it is stored in the Macintosh HD -> Library -> Parallels -> Tools directory).

NOTE: If  the system asks you to remove Kaspersky Internet Security application - please, delete it by choosing "Remove Completely" when prompted. 

Here is the list of most wide-spread messages. If you see them, please, ignore:

# \\.psf <file:///\\.psf>  is not accessible
# Mapped network drive is not accessible.
# Found new hardware.
# New hardware is installed. Reboot is required.
# Select new network location
