Add utils to probing PrivatePath in hsphere.exe.config file located in HSphere\bin\. The file content will look like this:

    <assemblyBinding xmlns="urn:schemas-microsoft-com:asm.v1">
      <probing privatePath="utils;refs;services;resources;" />
    <requiredRuntime version="v2.0.50727" safemode="true" />

Restart HSphere service on Windows server and try to upgrade again.
